AFG successfully placed 2.64 million new shares, raising gross proceeds of CHF 37.8 million

  • 2,640,000 new shares have been placed at an issue price of CHF 14.30 per share, raising gross proceeds of CHF 37.8 million. 
  • Net proceeds will be used to refinance the acquisition of Koralle Group, which was announced in June 2016.

Arbon, 19 September 2016 – AFG Arbonia-Forster-Holding AG ("AFG") has successfully placed 2.64 million new shares by way of an accelerated bookbuilding procedure with selected investors in Switzerland (private placement) and outside of Switzerland to institutional investors (in reliance on Regulation S). The gross proceeds from the placement amount to CHF 37.8 million. The net proceeds of the placement will be used to refinance the acquisition of Koralle Group, which was announced in June 2016.

The shares were placed at CHF 14.30 per new share, which represents a premium of 2.1% compared to the closing price on 19 September 2016. The shares placed are sourced from existing authorized capital of AFG. 

In the placement, AFG's anchor investor Michael Pieper, through his Artemis Beteiligungen I AG, was allocated 1,300,000 new shares. Artemis Beteiligungen I AG will therefore hold approximately 28.6% of AFG after the placement. 

The new shares are expected to be listed and admitted to trading on the SIX Swiss Exchange on 22 September 2016. Payment and settlement is expected to take place on the same day.
